1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and NeuraCare AI ("Company," "we," "us," or "our"), operating as NEHA.

By accessing, downloading, or using the NEHA platform, website, or AI chatbot services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease use of the Service.

2. AI Technology & Hallucinations Disclaimer

Important: AI Limitations NEHA utilizes advanced Large Language Models (LLMs) and generative AI technology. While we strive for accuracy, AI models can make mistakes.

You expressly acknowledge and agree that:

  • Not a Human: NEHA is an automated Artificial Intelligence system, not a human therapist, counselor, or medical professional.
  • "Hallucinations": Generative AI technologies are known to occasionally produce "hallucinations"—false, inaccurate, or misleading information presented confidently as fact. NEHA may unintentionally generate incorrect responses.
  • No Professional Advice: Content generated by NEHA is for informational and self-help support purposes only. It does not constitute a medical diagnosis, treatment plan, or professional medical advice.
  • Verification: You should not rely solely on NEHA for critical decision-making. Always verify medical information with a qualified healthcare provider.

3. Medical Disclaimer

NEHA is a self-help tool designed to support mental wellness through conversation and journaling. It is not a medical device.

  • The Company disclaims any liability for any adverse effects resulting from the use of the information or suggestions provided by the AI.
  • NEHA cannot diagnose mental health conditions (such as depression, anxiety, or PTSD) or prescribe medication.
  • Use of the Service does not create a doctor-patient or therapist-client relationship.

4. Eligibility & Account Security

To use NEHA, you must be at least 18 years old, or the age of digital consent in your jurisdiction. If you are under 18, you may only use the Service with the direct supervision and consent of a parent or legal guardian.

Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You agree to notify us immediately of any unauthorized access to your account.
  • We reserve the right to terminate accounts that we suspect are being used by unauthorized minors or for malicious purposes.

5. Data Usage & Intellectual Property

Your Content

You retain ownership of the personal prompts and emotional logs you input into NEHA. However, by using the Service, you grant NeuraCare AI a worldwide, non-exclusive, royalty-free license to process, store, and analyze your inputs to provide the Service.

AI Training & Privacy

We prioritize your privacy. While we use data to improve our models, all personal identifiers are anonymized before being used for system improvement or research, in compliance with applicable data protection laws (including the Digital Personal Data Protection Act, 2023, where applicable).

Company IP

The NEHA application, underlying code, algorithms, UI design, and "NEHA" brand are the exclusive property of NeuraCare AI. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

6. Prohibited Conduct

You agree not to misuse the Service. Prohibited actions include, but are not limited to:

  • "Jailbreaking": Attempting to manipulate the AI to bypass safety filters or generate harmful, illegal, or sexually explicit content.
  • Harmful Use: Using the Service to harass, abuse, or threaten others, or to promote self-harm or violence.
  • Technical Abuse: Using automated scripts, bots, or scrapers to access the Service or overwhelm our servers (DDoS).
  • Reverse Engineering: Decompiling or attempting to extract the source code or model weights of NEHA.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEHA AND NEURACARE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR EMOTIONAL DISTRESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE AI WILL BE ERROR-FREE OR AVAILABLE AT ALL TIMES.

8. Dispute Resolution & Jurisdiction

Governing Law: These Terms shall be governed by and construed in accordance with the laws of India.

Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be settled by binding arbitration in Bengaluru, Karnataka, in accordance with the Arbitration and Conciliation Act, 1996.

Class Action Waiver: You agree to resolve any disputes on an individual basis and waive the right to participate in a class action lawsuit.

10. Telecommunications Compliance

NEHA operates as an Over-The-Top (OTT) communication service under Indian telecommunications regulations. By using our Service, you acknowledge and agree to the following:

10.1 Regulatory Framework

Our Service complies with applicable guidelines issued by the Telecom Regulatory Authority of India (TRAI), including:

  • Telecom Commercial Communications Customer Preference Regulations (TCCCPR), 2018
  • Digital Consent Acquisition (DCA) requirements
  • Telecom Cybersecurity Rules, 2024

10.2 Message Handling & Anti-Spam

We are committed to preventing spam and unsolicited commercial communications:

  • No Unsolicited Messages: We will not send promotional or commercial messages without your explicit digital consent.
  • Whitelisted Content: Any system-generated messages (such as account verification or service alerts) will only contain whitelisted URLs and content.
  • Opt-Out Rights: You may opt out of non-essential communications at any time through your account settings or by contacting support.

10.3 Digital Consent

In compliance with TRAI's Digital Consent Acquisition framework:

  • All consents for communications are obtained through verifiable digital means.
  • You have the right to withdraw consent at any time.
  • Records of consent are maintained as required by applicable regulations.

10.4 Lawful Use of Telecommunications Infrastructure

You agree to use our Service in compliance with all applicable telecommunications laws and regulations. Prohibited activities include:

  • Using the Service to transmit harmful, unlawful, or fraudulent content
  • Attempting to circumvent any security or access controls
  • Interfering with the integrity of telecommunications networks

10.5 Cybersecurity Compliance

In accordance with the Telecom Cybersecurity Rules, 2024, we implement appropriate security measures to protect user data and communications. We may cooperate with authorized government agencies as required by law for lawful interception or cybersecurity purposes.

11. International Users & GDPR Compliance

NEHA is accessible globally. If you access the Service from outside India, you agree to comply with all applicable local laws.

11.1 European Union Users (GDPR)

If you are located in the European Economic Area (EEA), United Kingdom, or Switzerland, you have additional rights under the General Data Protection Regulation (GDPR):

  • Legal Basis: We process your data based on consent, contract performance, or legitimate interest.
  • Data Subject Rights: Right to access, rectification, erasure ("right to be forgotten"), restriction, portability, and objection.
  • Supervisory Authority: You have the right to lodge a complaint with your local Data Protection Authority.
  • Data Transfers: Your data may be transferred outside the EEA with appropriate safeguards (Standard Contractual Clauses).

11.2 Applicable Law for International Users

While these Terms are governed by Indian law, we acknowledge that mandatory local consumer protection laws may apply to users in certain jurisdictions. Nothing in these Terms limits your statutory rights under applicable local law.

12. Age Restrictions & Children's Privacy (COPPA)

Important: Age Requirement NEHA is NOT intended for children under 13 years of age (or 16 in the EEA).

In compliance with the Children's Online Privacy Protection Act (COPPA) and similar laws:

  • No Collection from Children: We do not knowingly collect personal information from children under 13 (or 16 in the EEA).
  • Parental Consent: Users between 13-18 must have parental or guardian consent to use the Service.
  • No Targeted Advertising: We do not direct targeted advertising to minors.
  • Deletion Rights: Parents/guardians may request review or deletion of their child's data by contacting privacy@wellnessneha.com.

If we learn we have collected personal information from a child under 13 without parental consent, we will delete that information promptly.

13. Service Modifications & Termination

13.1 Modifications to Service

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Update these Terms with reasonable notice (30 days for material changes)
  • Change pricing or introduce new features with advance notification

Continued use of the Service after changes constitutes acceptance of the modified Terms.

13.2 Account Termination

We may terminate or suspend your account if you:

  • Violate these Terms or any applicable laws
  • Engage in fraudulent or abusive conduct
  • Fail to pay any applicable fees

Upon termination, your right to use the Service ceases immediately. You may request a copy of your data within 30 days of termination.

14. Indemnification

You agree to indemnify, defend, and hold harmless NeuraCare AI, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any content you submit or share through the Service

15. Severability & Waiver

15.1 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.2 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of NeuraCare AI.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and NeuraCare AI regarding your use of the Service.

These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
